CLYRO PURCHASE ORDER ACCEPTANCE — v1.1
Effective from 13 June 2026.
By clicking "Accept" on a Purchase Order issued through the Clyro platform,
the Exporter confirms:
1. ACCEPTANCE OF COMMERCIAL TERMS
The Exporter accepts the product specification, quantity, unit price, total
value, currency, delivery window, destination port, INCOTERM, payment terms,
and any quality, inspection, or special clauses as stated on the PO.
2. CAPACITY TO PERFORM
The Exporter confirms it has the operational capacity, regulatory permits,
phytosanitary clearances, and inventory or production schedule to fulfil
this PO within the agreed delivery window.
3. DIRECT CONTRACT WITH BUYER
This PO creates a direct commercial relationship between the Exporter and
the Buyer. Clyro Trade & Technology S.A.E. ("Clyro") is the introducer and
platform operator only — not a contracting party, agent, escrow holder,
payment institution, or guarantor of either party's performance.
4. PAYMENT FLOWS OUTSIDE CLYRO
The Buyer pays the Exporter directly through the agreed banking channel
(SWIFT, Letter of Credit, T/T, or other). Clyro never holds funds. The
platform records bank advice and payment references for audit purposes
only.
5. DISPUTES
Commercial disputes are between Buyer and Exporter, governed by the law
specified in the PO (or absent that, the law of the Exporter's country).
The Exporter agrees not to name, blame, or implicate Clyro in any dispute
unless Clyro has directly caused the issue.
6. EXPORT VERIFICATION DECLARATION
The Exporter's prior acceptance of the Clyro Exporter Verification
Declaration (EVD) remains in force and applies to all documents shared
under this PO.
7. ACCEPTANCE LOGGING
Acceptance is logged with the Exporter user's account, IP address, user
agent, timestamp, and the exact text of this acceptance and the PO at the
moment of signing.
8. GOVERNING LAW (ACCEPTANCE)
This acceptance instrument is governed by the laws of the Arab Republic of
Egypt. The commercial PO itself is governed by whichever law the parties
selected on the PO.
